The following are the terms and conditions regarding the use of ZozzyTV.com, (the “Terms”) a website provided by Fireworkz Interactive (Ireland) Limited (“Fireworkz”), a company registered in Ireland under company number 475838, in respect of the use of its website (the “Website”) and subsequent broadcasts whether on display screens (“Display Screens”) or otherwise.

1. The Website
   1. These Terms apply to all users of the Website, including users who are also contributors of any form of video content (“User Videos”).
   2. The Website may contain links to third party websites that are not owned or controlled by Fireworkz. Fireworkz has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party websites. In addition, Fireworkz will not and cannot censor or edit the content of any third-party site. In using the Website, you expressly relieve Fireworkz from any and all liability arising from your use of any third-party website.
2. Fireworkz Accounts
   1. It is necessary to create a Fireworkz account should you wish to access certain parts of the Website. All details that you provide in creating an account must be complete and accurate. Any activity on your account is your sole responsibility and you must keep your password secure at all times. You may never use another user’s account without that user’s permission. If there is any unauthorised use of your account, you must notify Fireworkz immediately.
   2. Fireworkz will not be liable for your losses caused by any unauthorised use of your account. However, you may be liable for the losses of Fireworkz or others due to such unauthorised use.
3. Use of the Website
   1. Fireworkz hereby grants you permission to access and use the Website as outlined in these Terms, on the basis that:
      1. In your use of the Website, you will otherwise comply with these Terms and all applicable local, national, and international laws and regulations.
      2. You agree not to alter or modify any part of the Website.
      3. You agree not to use the Website for any commercial use or to distribute in any medium any part of the Website, including but not limited to User Videos, without the prior written authorization of Fireworkz.
      4. Fireworkz reserves the right to discontinue any aspect of the Website at any time.
4. User Videos
   1. Upon establishing an account on the Website, you may submit User Videos. Fireworkz cannot guarantee any confidentiality with respect to any User Videos which are submitted.
   2. You shall be solely responsible for your own User Videos and the consequences of submitting, posting, publishing or broadcasting them. By submitting a User Video to the Website, you affirm, represent, and/or warrant that you own or have the necessary licences, rights, consents, and permissions to use, and to authorise Fireworkz to use all patent, trademark, trade secret, copyright or other proprietary rights in and to any User Videos to enable inclusion and use of the User Videos in the manner contemplated by these Terms, by the Website and on Display Screens.
   3. You retain all of your ownership rights in your User Videos. By submitting User Videos to Fireworkz, you hereby grant Fireworkz a worldwide, non-exclusive, royalty-free, irrevocable and transferable licence to freely use, edit, reproduce, distribute, prepare derivative works of, display and broadcast, on Display Screens or otherwise, the User Videos in connection with the Website and the business of Fireworkz (and its successors' and affiliates'), including without limitation for promoting and redistributing part or all of the Website (and derivative works thereof) in any media formats and through any media channels. [You also hereby grant each user of the Website a non-exclusive licence to access your User Videos through the Website, and to use, reproduce, distribute, display and perform such User Videos as permitted through the functionality of the Website and under these Terms – please confirm in accordance with queries in clause 6 outlined below] The above licences granted by you in User Videos terminate within 30 days after you remove or delete your User Videos from the Website. You understand and agree, however, that Fireworkz may retain, but not display, distribute, or perform, server copies of User Videos that have been removed or deleted. The above licences granted by you are perpetual and irrevocable.
   4. In connection with User Videos, you further agree that you will not submit material that is copyrighted, protected by trade secret or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless you are the owner of such rights or have permission from their rightful owner to post the material and to grant Fireworkz all of the licence rights granted herein.
   5. Fireworkz does not endorse any User Video or any opinion, recommendation, or advice expressed therein, and Fireworkz expressly disclaims any and all liability in connection with User Videos. Fireworkz does not permit copyright infringing activities and infringement of intellectual property rights on its Website or Display Screens, and Fireworkz will remove a User Video if properly notified that such a User Video infringes on another's intellectual property rights. Fireworkz reserves the right to remove a User Video without prior notice.
   6. If you wish to complain about any User Video posted to the Website, please e-mail Fireworkz using the e-mail address support@zozzytv.com. Fireworkz will then review the User Video and decide whether it complies with these Terms. Fireworkz will deal with any User Video which, in its opinion, violates these Terms in a manner which it deems fit. Fireworkz will inform you of the outcome of its review within a reasonable time of receiving your complaint.
5. Screening of User Video Content
   1. The content of each User Video submitted to Fireworkz will be assessed as soon as is reasonably practicable after it is submitted. Fireworkz will attempt to broadcast as many submissions as is reasonably possible but cannot guarantee that all submissions will be broadcast. You may request that a User Video be aired at a specific time and venue and while Fireworkz will endeavour to broadcast submissions in accordance with these requests, Fireworkz cannot guarantee that User Videos will be shown at the requested time or venue.
   2. Fireworkz reserves the right to determine whether a User Video is appropriate to broadcast and whether a User Video complies with these Terms for violations other than copyright infringement, such as, but not limited to, pornography, obscene or defamatory material, or excessive length. In addition, a User Video must not:
      1. be offensive, hateful or inflammatory
      2. promote discrimination based on race or ethnic origin, gender, religion or belief, disability, sexual orientation or age
      3. disclose the address, telephone, mobile or fax number, e-mail address or any other personal data in respect of any individual
      4. breach any legal duty owed to a third party, such as a contractual duty or a duty of confidence
      5. be in contempt of court
      6. be likely to harass, upset or alarm any other person;
      7. misrepresent your identity or affiliation with any person
      8. advocate, promote, incite any third party to commit, or assist any unlawful or criminal act
      9. contain a statement which you know or believe, or have reasonable grounds for believing, that members of the public to whom the statement is, or is to be, published are likely to understand as a direct or indirect encouragement or other inducement to the commission, preparation or instigation of acts of terrorism
      10. contain any advertising or promote any services or web links to other sites.
   3. Fireworkz may remove a User Video which is deemed inappropriate and/or terminate a User's access for uploading inappropriate material in violation of these Terms at any time, without prior notice and at its sole discretion.
6. Content on the Website

   In addition to the general restrictions above, the following restrictions and conditions apply specifically to your use of content on the Website.

   1. The content on the Website, except all User Videos, including without limitation, any text, software, scripts, graphics, photos, sounds, music, videos or interactive features ("Fireworkz Content") and the trademarks, service marks and logos contained therein, are owned by or licensed to Fireworkz, subject to copyright and other intellectual property rights under the law. Fireworkz Content is provided to you AS IS for your information and personal use only and may not be downloaded, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any other purposes whatsoever without the prior written consent of the respective owners. Fireworkz reserves all rights not expressly granted in and to the Website and Fireworkz Content.
   2. You may access Fireworkz Content and other content only as permitted under this Agreement. You agree to not engage in the use, copying, or distribution of any of the Fireworkz Content other than expressly permitted herein.
   3. You agree not to circumvent, disable or otherwise interfere with security-related features of the Website or features that prevent or restrict use or copying of any Fireworkz Content or enforce limitations on use of the Website or the Fireworkz Content therein.
   4. You may access User Videos for your information and personal use solely as intended through the provided functionality of the Website. You shall not copy or download any User Video unless you see a “download” or similar link displayed by Fireworkz on the Website for that User Video. Any such permitted downloads shall be for private use only and not for distribution, exploitation or any other commercial purpose.
   5. You understand that when using the Website, you will be exposed to User Videos from a variety of sources, and that Fireworkz is not responsible for the accuracy, usefulness, safety, or intellectual property rights of or relating to such User Videos. You further understand and acknowledge that you may be exposed to User Videos that are inaccurate, offensive, indecent, or objectionable, and you agree to waive, and hereby do waive, any legal or equitable rights or remedies you have or may have against Fireworkz with respect thereto, and agree to indemnify and hold Fireworkz, its officers or agents, affiliates, and/or licensors, harmless to the fullest extent allowed by law regarding all matters related to your use of the Website.
7. Warranty Disclaimer and Limitation of Liability
   1. You agree that your use of the Website shall be at your sole risk. To the fullest extent permitted by law, Fireworkz, its officers, directors, employees, and agents disclaim all warranties, express or implied, in connection with the website and your use thereof, including the subsequent broadcasting of User Videos, whether on Display Screens or otherwise. Fireworkz makes no warranties or representations about the accuracy or completeness of Fireworkz Content or the content of any User Video linked to the Website and in no event shall Fireworkz, its officers, directors, employees, or agents, be liable to you for any direct, indirect, incidental, special, punitive, or consequential damages whatsoever resulting from any
      1. errors, mistakes, or inaccuracies of content
      2. personal injury or property damage, of any nature whatsoever, resulting from your access to and use of the Website or subsequent broadcasting of User Videos, whether on Display Screens or otherwise,
      3. any unauthorised access to or use of our secure servers and/or any and all personal information and/or financial information stored therein
      4. any interruption or cessation of transmission to or from the Website or to or from any broadcasts of User Videos, whether on Display Screens or otherwise
      5. any bugs, viruses, trojan horses, or the like which may be transmitted to or through the Website by any third party
      6. any errors or omissions in any content or for any loss or damage of any kind incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available via the Website or broadcast, whether on Display Screens or otherwise, whether based on warranty, contract, tort, or any other legal theory, and whether or not Fireworkz is advised of the possibility of such damages. the foregoing limitation of liability shall apply to the fullest extent permitted by law in the applicable jurisdiction.
      7. You specifically acknowledge that Fireworkz shall not be liable for User Videos or subsequent broadcasts whether on Display Screens or otherwise, or the defamatory, offensive, or illegal conduct of any third party and that the risk of harm or damage from the foregoing rests entirely with you.
      8. Further, Fireworkz does not warrant, endorse, guarantee, or assume responsibility for any product or service advertised or offered by a third party through the Website or broadcast whether on Display Screens or otherwise or on any hyperlinked website or featured in any banner or other advertising, and Fireworkz will not be a party to or in any way be responsible for monitoring any transaction between you and third-party providers of products or services.
8. Indemnity
   1. You agree to defend, indemnify and hold harmless Fireworkz, its officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to legal fees) arising from:
      1. your use of and access to the Website and/or Display Screens
      2. your violation of any term of these Terms
      3. your violation of any third party right, including without limitation any copyright, property, or privacy right
      4. any claim that one of your User Videos caused damage to a third party. This defence and indemnification obligation will survive these Terms and your use of the Website and/or Display Screens.
9. Termination of Accounts
   1. Fireworkz will terminate a user's access to the Website in accordance with clause 5.3 above or in circumstances in which a user is determined by Fireworkz to be a repeat or serious infringer of these Terms.
10. Capacity to Contract
    1. You affirm that you are either more than 18 years of age or possess legal parental or guardian consent, and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms, and to abide by and comply with these Terms.
11. Assignment
    1. These Terms, and any rights and licences granted hereunder, may not be transferred or assigned by you, but may be assigned by Fireworkz without restriction.
12. Governing Law
    1. This agreement shall be governed by and construed in accordance with the laws of Ireland. All users of the Website and/or Display Screens agree that the courts of Ireland shall have jurisdiction to hear and determine any suit, action or proceedings that may arise out of or in connection with these Terms and for such purposes irrevocably submits to the jurisdiction of such courts.

Please note that Fireworkz may, in its sole discretion, modify or revise these Terms and policies at any time, and you agree to be bound by such modifications or revisions. You are expected to check this page from time to time to take notice of any changes Fireworkz may make. Nothing in this Agreement shall be deemed to confer any third-party rights or benefits.
